Bylaws

Article 1

Name, registered office and duration

  1. The Association, which is non-profit making, adopts the name H. L. P. Health & Leisure Portugal Associação para a Promoção do Turismo de Saúde (Association for the Promotion of Health Tourism) and has its headquarters at Rua Júlio Dinis, no 242 2o Andar, sala 206 4050-318 Porto, União das Freguesias de Lordelo do Ouro e Massarelos, concelho do Porto and will be established for an indefinite period of time.
  2. The Association has the legal person number 510 536 972.

Article 2

Purpose

The purpose of the Association is to publicize and promote the provision of healthcare abroad in conjunction with Turismo de Portugal in Portugal.

Article 3

Income

The following constitute the Association’s income:

  1. a) The initial fee paid by members;
  2. b) Proceeds from membership fees to be determined by the General Assembly;
  3. c) Income from the Association’s own assets and income from social activities;
  4. d) Any donations accepted by the Association;
  5. e) Any subsidies awarded.

Article 4

Governing Bodies

  1. The association’s bodies are the general assembly, the board of directors and the supervisory board.
  2. The term of office of the members of the governing bodies is three years.

Article 5

General Assembly

  1. The General Assembly is made up of all members in full possession of their rights.
  2. The powers of the general meeting and the way in which it operates shall be those laid down in the Civil Code, specifically in article 170 and articles 172 to 179.
  3. The board of the General Assembly is made up of three members: a chairman and two secretaries.

Article 6

Board of Directors

  1. The board of directors, elected at the general assembly, is made up of five members.
  2. The board is responsible for the social, administrative and financial management of the association and representing it in and out of court.
  3. The way in which it operates is laid down in article 171 of the Civil Code.
  4. The association is bound by the intervention of two board members, one of whom is always the chairman.

Article 7

Supervisory Board

  1. The supervisory board, elected at the general assembly, is made up of three members.
  2. The supervisory board is responsible for overseeing the administrative and financial acts of the board of directors, auditing its accounts and reports, and giving an opinion on acts that involve an increase in expenditure or a decrease in income.
  3. The way in which it operates is laid down in Article 171 of the Civil Code.

Article 8

Admission and exclusion

 The conditions for admission and exclusion of members, their categories, rights and obligations shall be laid down in regulations to be approved by the General Meeting.

Article 9

Termination. Destination of assets

Once the association has been wound up, the fate of the assets it integrates and the social patrimony which are not assigned to a specific purpose and which have not been donated or left to it with some charge, shall be the subject of a decision by the members.
